Kin Yat shall be solely liable for the adequacy and completeness of the verification.

4.2.1 Kin Yat shall use only materials and components that have been approved by iRobot for the Manufacturing Services in accordance with the Specifications and any engineering changes, specifications or amendments to them. Kin Yat shall be responsible for storing, collecting and ensuring that it is readily available for inspection by iRobot or its designee any documentation that indicates that all of its third party suppliers are in compliance with the applicable Material Declaration Requirements.

4.2.2 Kin Yat shall monitor and provide monthly reports to iRobot the percent of Purchase Orders that are delivered On-time, based on the definition of On-time used by iRobot which includes delivering all parts, materials and products ordered for delivery by iRobot within the Lead Time plus any required shipping dates identified in the applicable Product Specifications. Kin Yat shall also maintain documents and records of all Supplier Quality Assurance activities, testing and evaluations.
